These Terms of Use ("Terms") govern your access to and use of trialytics.ai and related services (the "Service") provided by Trialytics, a trade name registered in the State of Maryland ("Trialytics," "we," "our," or "us").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter binding contracts to hold an account. The Service is not intended for account holders under 18 or for users outside the United States. A parent or legal guardian may use their own account to search on behalf of a minor in their care and may submit that minor's health information for that purpose (see Section 5).
2. Account registration
To use matching features, you must create an account. You agree to:
- Provide accurate, complete information
- Keep your information current
- Maintain the security of your credentials
- Notify us promptly of any unauthorized account access
- Be responsible for all activity under your account
We use Google Cloud Identity Platform (Firebase Authentication) for account management. Your use of authentication features is also subject to Google's terms.
You may delete your account at any time from your account settings. We may suspend or terminate your account for violations of these Terms or for other reasons in our discretion.
3. What Trialytics provides
The Service helps you find clinical trials that may match your health profile by:
- Searching public clinical trial data (primarily from ClinicalTrials.gov)
- Analyzing trial eligibility criteria using AI
- Comparing your profile against those criteria
- Surfacing trials that may be relevant
- Generating plain-language explanations of trial requirements
4. What Trialytics is not
Trialytics is not a healthcare provider. We do not provide medical advice, diagnosis, treatment, or recommendations. Use of the Service does not create a doctor-patient relationship.
We do not endorse, sponsor, or conduct clinical trials. Trial information comes from public registries and from the trial sponsors themselves. We do not verify their accuracy.
We do not guarantee any outcome. Matching results indicate possible eligibility; final eligibility is determined by the trial's research team.
Always consult a qualified healthcare professional before making medical decisions, including whether to participate in a clinical trial. In an emergency, call 911.
5. Health information you provide
You may provide health information to use matching features. By doing so:
- You represent that the information is your own (or that you have authority to provide it for someone else, such as a child or person under your legal guardianship)
- You authorize Trialytics to use this information for the purposes described in our Privacy Policy
- You may revoke your HIPAA Authorization at any time, which will stop further sharing of your health information with trial sites
Your health information is handled according to our Privacy Policy and HIPAA Authorization documents. The technical safeguards are described in our HIPAA Compliance Statement, available on request.
6. AI processing
The Service uses AI models, including Google Cloud Vertex AI (Gemini), to process trial criteria and your profile. By using the Service, you understand:
- AI-generated output may contain errors, omissions, or inaccuracies
- You should not rely solely on AI output for medical decisions
- You will verify important information independently with healthcare providers and trial coordinators
- AI models do not replace clinical judgment
We do not use your health information to train or fine-tune AI models — that is, to build or adjust the learned parameters of any model. Our service providers are contractually prohibited from doing so under our agreements. How we use information to measure and improve the Service is described in our Privacy Policy.
7. Acceptable use
You agree not to:
- Use the Service for any illegal purpose
- Provide false information about your identity or health
- Submit health information about someone else without their consent (or appropriate legal authority)
- Use automated tools, bots, or scripts to access the Service
- Bypass or interfere with security features (including CAPTCHA)
- Impersonate any person or entity
- Harass or harm other users or Trialytics personnel
- Transmit malware or harmful code
- Reverse engineer or attempt to extract our source code, models, or proprietary data
- Resell or redistribute the Service
- Scrape or systematically extract trial data
Violations may result in immediate account suspension or termination, legal action, and reporting to law enforcement.
8. Intellectual property
8.1 Our property
The Service, including the matching algorithms, user interface, content (other than third-party trial data), and the Trialytics name, logo, and trade dress, are owned by us and protected by intellectual property laws.
8.2 Your license
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes consistent with these Terms.
8.3 Third-party trial data
Clinical trial information is sourced from public registries (primarily ClinicalTrials.gov) and remains the property of its respective owners. We claim no ownership over third-party trial data.
8.4 Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation to you.
9. Privacy
Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DISCLAIM:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, completeness, or timeliness of trial information
- Warranties regarding the suitability of any clinical trial for your specific situation
- Warranties regarding the safety, efficacy, or outcomes of clinical trials
- Warranties regarding AI-generated content
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY MARYLAND LAW, TRIALYTICS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Any injury, illness, or adverse health outcome related to a clinical trial
- Damages from reliance on information provided by the Service
- Actions or omissions of clinical trial sponsors, investigators, or third parties
- Service interruptions, errors, or unavailability
- Data loss or corruption
- Unauthorized access to your account (except as required by HIPAA Breach Notification Rule, where applicable)
Our total liability for all claims under these Terms shall not exceed the greater of $100 USD or the amount you paid us in the 12 months preceding the claim.
These limitations apply even if a remedy fails of its essential purpose, and even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold Trialytics and its affiliates harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third party's rights
- Your participation in any clinical trial found through the Service
- Any information you submit, including health information
13. Modifications
We may modify these Terms or the Service at any time. Material changes will trigger:
- An updated "Effective date"
- An incremented version number
- Email notification to active accounts
- A re-acceptance prompt at next login
Your continued use after the effective date means you accept the revised Terms.
14. Governing law and dispute resolution
14.1 Governing law
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.
14.2 Informal resolution
Before filing a claim, contact us at [email protected]. We will attempt to resolve disputes informally within 30 days.
14.3 Arbitration
Any dispute arising from these Terms or the Service that is not resolved informally shall be resolved through binding arbitration in Montgomery County, Maryland, administered by the American Arbitration Association under its Consumer Arbitration Rules. Exceptions:
- You may bring claims in small claims court if they qualify
- Either party may seek injunctive relief in court to protect intellectual property
- Either party may seek relief from a court for HIPAA-related disputes if required by federal law
14.4 Class action waiver
YOU AND TRIALYTICS AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.
14.5 Jurisdiction
For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Montgomery County, Maryland.
14.6 Time limit
You must bring any claim within one (1) year of the event giving rise to the claim, or it is permanently barred, except where prohibited by Maryland law.
15. General
15.1 Entire agreement
These Terms, together with the Privacy Policy and HIPAA Authorization, constitute the entire agreement between you and Trialytics regarding the Service.
15.2 Severability
If any provision is unenforceable, the remaining provisions remain in full force.
15.3 Waiver
Our failure to enforce any right does not waive that right.
15.4 Assignment
You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
15.5 No third-party beneficiaries
These Terms do not create rights for third parties.
15.6 Survival
Provisions that should survive termination (disclaimers, limitations of liability, indemnification, dispute resolution) will survive.
